Acceptance of Terms

By accessing and using the services provided by EchoPinnacle SARL ("Company", "we", "our", or "us"), you ("Client", "you", or "your") agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These terms apply to all users of our commercial kitchen equipment guidance services.

Service Description

EchoPinnacle provides commercial kitchen equipment consultation services, including but not limited to equipment assessment, vendor research, budget planning, and implementation guidance. Our services are designed to assist food service businesses in making informed equipment decisions. All recommendations and advice are provided based on our professional expertise and industry knowledge.

User Obligations

As a user of our services, you agree to:

• Provide accurate and complete information necessary for our consultation services
• Use our services only for lawful purposes and in accordance with these terms
• Respect our intellectual property rights and confidential information
• Pay all fees and charges associated with our services in a timely manner
• Communicate professionally and respectfully with our team
• Not attempt to reverse engineer, modify, or distribute our proprietary materials

Payment Terms

Payment for our services is due according to the terms specified in your service agreement. We accept payments in Euros (EUR) through approved payment methods. Late payments may incur additional charges as specified in your service agreement. We reserve the right to suspend services for accounts with outstanding balances beyond agreed payment terms.

Intellectual Property

All content, reports, recommendations, methodologies, and materials provided by EchoPinnacle remain our intellectual property unless otherwise specified in writing. You may use our deliverables for your internal business purposes but may not reproduce, distribute, or create derivative works without our express written consent. Our trade marks, service marks, and logos are protected intellectual property and may not be used without authorisation.

Confidentiality

We understand that you may share confidential business information with us during our consultation process. We agree to maintain the confidentiality of such information and use it solely for the purpose of providing our services. Similarly, you agree to maintain the confidentiality of our proprietary methodologies and any confidential information we share with you.

Limitation of Liability

To the fullest extent permitted by law, EchoPinnacle's liability for any claims arising from our services shall be limited to the amount paid by you for the specific services giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our recommendations are advisory in nature, and final equipment decisions remain your responsibility.

Disclaimers

Our services are provided "as is" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. While we strive to provide accurate and current information, we make no representations or warranties about the completeness, accuracy, or reliability of our recommendations.

Indemnification

You agree to indemnify, defend, and hold harmless EchoPinnacle, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights. This indemnification obligation shall survive termination of these terms.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Luxembourg. The parties agree that any legal proceedings shall be conducted in English or French, as appropriate under Luxembourg law.

Termination

Either party may terminate our service relationship with reasonable notice as specified in your service agreement. We reserve the right to terminate services immediately if you breach these terms or fail to make required payments. Upon termination, you remain responsible for all outstanding fees and charges. Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.

Modifications

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any modifications constitutes acceptance of the updated terms. We recommend reviewing these terms periodically to stay informed of any changes.

Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely achieves the intent of the original provision.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government regulations. In such cases, the affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact.

Entire Agreement

These Terms of Service, together with any signed service agreements and our Privacy Policy, constitute the entire agreement between you and EchoPinnacle regarding the use of our services. These terms supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties.
